Terms and Conditions for Natus Energy Ltd

Welcome to Natus Energy Ltd, a provider of clean, grid-independent electrical power for residential and commercial premises. These Terms and Conditions govern your use of our services, including the purchase of electricity generated by our proprietary generators. By engaging with us, you agree to be bound by these terms.
1. Definitions

Company: Natus Energy Ltd, a company registered in England and Wales, located at Unit 2, 82 James Carter Road, Bury St Edmunds, Suffolk, IP28 7DE, United Kingdom.

Client: The individual or entity purchasing electricity from the Company.

Services: The provision of electrical power generated by the Company’s generators, supplied on a prepaid billing basis.

Generator: The Company’s proprietary equipment used to produce electricity, which remains the property of the Company.

Prepaid Billing: Payment in advance for electricity usage, calculated per kilowatt-hour (kWh) at an agreed rate.
2. Scope of Services
2.1 The Company provides electricity generated by its grid-independent generators to residential and commercial premises.
2.2 The Company does not sell or transfer ownership of the Generators. Clients purchase only the electricity produced, on a prepaid billing basis.
2.3 The Company may install Generators at the Client’s premises, either free of charge or with an installation/commissioning fee, as agreed in writing.
3. Ordering and Payment
3.1 Clients must submit a service request via the Company’s website, email, or other designated method, specifying their electricity needs.
3.2 The Company will provide a quote detailing the prepaid kWh rate, any installation fees, and other charges. Quotes are valid for 30 days.
3.3 Clients must prepay for electricity usage via bank transfer, credit card, or other approved methods. Payment terms (e.g., monthly, quarterly) will be agreed in the service contract.
3.4 Installation fees, if applicable, are due before commissioning unless otherwise agreed.
3.5 All payments are in GBP and include VAT where applicable, as per UK tax regulations.
4. Installation and Maintenance
4.1 The Company will install Generators at the Client’s premises, ensuring compliance with safety and regulatory standards.
4.2 Generators remain the property of the Company at all times. Clients may not modify, relocate, or tamper with the Generators.
4.3 The Company is responsible for maintaining and repairing Generators, with reasonable access to the premises required.
4.4 Clients must notify the Company immediately of any Generator issues or performance concerns.
5. Client Obligations
5.1 Clients must provide a suitable location for Generator installation, including necessary permissions and access.
5.2 Clients are responsible for ensuring their premises comply with electrical safety standards.
5.3 Clients must use the electricity in accordance with the Company’s guidelines and applicable laws.
6. Prepaid Billing and Usage
6.1 Electricity usage is tracked via the Generator’s metering system. Clients will receive periodic usage reports.
6.2 Prepaid balances must be maintained to ensure uninterrupted service. If the balance is depleted, the Company may suspend service until topped up.
6.3 Unused prepaid balances are non-refundable unless the service contract is terminated under Section 9.
7. Liability
7.1 The Company warrants that the electricity supplied will meet UK safety and quality standards.
7.2 The Company is not liable for interruptions caused by force majeure, Client misuse, or external factors beyond its control.
7.3 The Company’s liability for any claim is limited to the amount paid by the Client for the Services in the preceding 12 months.
7.4 The Company is not liable for indirect or consequential losses, including loss of profits or business interruption.
8. Consumer Rights (Residential Clients)
8.1 If you are a residential Client, you have rights under the Consumer Rights Act 2015, including a 14-day cooling-off period to cancel the service contract without penalty, starting from the date of agreement.

9. Termination
9.1 Either party may terminate the service contract with 30 days’ written notice.
9.2 The Company may terminate immediately if the Client breaches these terms, fails to make payments, or misuses the Generator.
9.3 Upon termination, the Company will remove the Generator at no cost to the Client, and any unused prepaid balance may be refunded, less any outstanding fees.
10. Intellectual Property
10.1 All intellectual property rights in the Generators and related technology remain with the Company.
10.2 Clients may not reverse-engineer or replicate the Generators.
11. Data Protection
11.1 The Company collects and processes Client data in accordance with our Privacy Policy, available at www.natusenergy.com/privacy.
11.2 Data related to electricity usage and Generator performance may be collected to ensure service quality.
12. Governing Law and Jurisdiction
12.1 These Terms and Conditions are governed by the laws of England and Wales.
12.2 Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to Terms
13.1 The Company may update these Terms and Conditions, with changes posted on our website. Significant changes will be communicated via email or written notice.
13.2 Continued use of the Services after changes constitutes acceptance of the new terms.
